Terms of Service

1. Acceptance of Terms

By accessing or using the LusoPass platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service. These Terms constitute a legally binding agreement between you and LusoPass Inc. ("LusoPass", "we", "our", or "us").

2. Description of Service

LusoPass provides a digital platform for managing golden visa applications, immigration case management, real estate investment tracking, and institutional fund administration in the Portuguese market. The Service includes document management, workflow automation, compliance monitoring, and stakeholder collaboration tools.

3. User Accounts

To access the Service, you must create an account with accurate and complete information. You are responsible for: • Maintaining the confidentiality of your account credentials • All activities that occur under your account • Notifying us immediately of any unauthorized use • Ensuring that your account information remains current and accurate We reserve the right to suspend or terminate accounts that violate these Terms.

4. User Roles and Access

The Service provides role-based access to different features depending on your user type (investor, legal professional, fund administrator, institutional partner, or platform administrator). You agree to use the Service only within the scope of your assigned role and permissions. Attempting to access features or data outside your authorized scope is strictly prohibited.

5. Acceptable Use

You agree not to: • Use the Service for any unlawful purpose or in violation of any applicable laws • Upload false, misleading, or fraudulent documents or information • Attempt to gain unauthorized access to other accounts or platform systems • Interfere with or disrupt the Service or its infrastructure • Reverse engineer, decompile, or disassemble any part of the Service • Use the Service to transmit malware, viruses, or other harmful code • Share account credentials with unauthorized third parties • Use automated tools to scrape or extract data from the Service

6. Document Upload and Accuracy

You represent and warrant that all documents and information you upload to the Service are authentic, accurate, and legally obtained. LusoPass is not responsible for verifying the authenticity of user-uploaded documents beyond the scope of our compliance review processes. Uploading fraudulent documents may result in immediate account termination and referral to appropriate authorities.

7. Intellectual Property

The Service, including its design, features, content, and underlying technology, is the intellectual property of LusoPass Inc. and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. You retain ownership of content you upload to the platform.

8. Fees and Payment

Access to the Service may require payment of subscription fees as outlined in your service agreement. Fees are billed in accordance with your selected plan. We reserve the right to modify pricing with 30 days' prior notice. Failure to pay may result in service suspension. All fees are exclusive of applicable taxes unless otherwise stated.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. LusoPass does not guarantee: • Uninterrupted or error-free operation of the Service • The accuracy or completeness of any information provided through the Service • That the Service will meet your specific requirements • The outcome of any immigration application or investment transaction LusoPass is a technology platform and does not provide legal, financial, or immigration advice.

10. Limitation of Liability

To the maximum extent permitted by law, LusoPass shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability for any claims arising under these Terms shall not exceed the fees paid by you to LusoPass in the twelve (12) months preceding the claim.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of Portugal, without regard to conflict of law principles. Any disputes arising from these Terms shall be submitted to the exclusive jurisdiction of the courts of Lisbon, Portugal. For EU consumers, this does not affect your rights under mandatory consumer protection laws of your country of residence.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be notified via email or a prominent notice on the platform at least 30 days before taking effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
